PoolParty End User Licence Agreement
Public beta · version beta-1 · last updated 2026-10-01
This agreement is between you and PoolParty Labs LLC, a Colorado limited liability company (“we”, “us”, “our”), the publisher of PoolParty. It covers the PoolParty software. Our Terms of Service cover the website and the online services we run, our Privacy Notice explains what leaves your machines, and our Credits Terms cover credits.
The short version
This summary is here to help you read the agreement. The full text below is what governs.
- PoolParty is beta software. It is unfinished. It will have bugs, it may lose data or stop working, and it will change without notice.
- It is free, it comes as it is, and you use it at your own risk.
- Your machines, your data, your backups. PoolParty puts your computers to work when you let it: processor, graphics, memory, storage, network and power. You decide what it may do, and you are responsible for your devices and for keeping your own backups.
- Lost keys mean lost files. Sealed files open only with your devices or your recovery codes. We never have either, so if you lose both, nobody can recover those files, including us.
- Use it lawfully, and only on machines you are allowed to use.
- Other people’s parts keep their own terms. AI models, engines, games and open-source components come with their own licences.
- Our liability is limited to US$50 or what you paid us in the past year, whichever is more. The beta is free.
1. Accepting this agreement
1.1 You accept this agreement when you tick the box or click to agree in the installer or in the app, or when you install or use PoolParty. If you do not agree, do not install or use PoolParty, and uninstall it if it is installed.
1.2 You must be at least 18 years old, or the age of majority where you live if that is higher, to accept this agreement and use PoolParty.
1.3 If you accept for a company or other organisation, you confirm that you have authority to bind it, and “you” includes it.
2. Words used here
- “PoolParty” or “the Software”: the PoolParty desktop app, its background agent and hub, its command-line tools, the standalone agent downloads, the Theater viewer, its installers and updates, and the documentation that comes with them.
- “Your pool”: the devices you connect with PoolParty, together with the people, apps, agents and keys you admit to it.
- “Services”: the website and the online services we run, covered by our Terms of Service.
- “Third-party components”: software, AI models, engines, content and services made by others (sections 9 to 11).
3. Beta software
3.1 PoolParty is a public beta: a pre-release version offered for testing and feedback. Features may be incomplete, may not work as described, and may change or be removed at any time without notice.
3.2 The beta may contain errors that cause crashes, lost or corrupted data, security weaknesses, unexpected use of your machines’ resources, or other problems. Do not use it for anything critical, for anything where a failure could cause injury or significant loss, or as the only copy of anything you care about.
3.3 An update may require you to reinstall, reset, pair your devices again or recreate your pool, and data or settings from earlier versions may not carry over.
3.4 We have no obligation to provide support, fix errors, release updates or release a final version. We may end the beta, or stop offering PoolParty, at any time.
4. Your licence
4.1 Subject to this agreement, we give you a personal, non-exclusive, non-transferable, non-sublicensable, revocable and free licence to install and use PoolParty on devices you own or are authorised to use, for your personal use or your organisation’s internal use.
4.2 You may make the copies you need to install PoolParty on those devices and to keep a backup of the installer.
4.3 PoolParty is licensed, not sold. We keep every right this agreement does not expressly give you.
5. What you may not do
You may not, and may not let anyone else:
a. sell, rent, lease, lend, sublicense, publish or distribute PoolParty, or offer it or your pool to the public as a hosted or commercial service, unless we agree in writing (using PoolParty’s own features as designed, such as inviting people, site keys, service keys, bots and bridges, is fine);
b. remove or change any copyright, trademark or licence notice;
c. disable, bypass or interfere with PoolParty’s security, signatures, consent controls, limits, sandboxes, budgets or metering;
d. install PoolParty on, or add to a pool, a device or network you do not have permission to use;
e. use PoolParty to break the law, infringe anyone’s rights, harm anyone, or do anything the Acceptable Use rules in our Terms of Service forbid; or
f. reverse engineer, decompile or disassemble PoolParty, except where the law allows it despite this restriction, where an open-source licence allows it (section 11), or for security research under section 5.1.
5.1 Security research is welcome. You may inspect how PoolParty behaves on your own machines, including its network traffic and its published digests, signatures and dependency lists, to check it for security or privacy problems. Please report what you find to hello@poolpartyai.com and give us a reasonable chance to fix it before you publish details. This permission does not cover accessing other people’s devices, pools or data, or disrupting our Services.
6. Your machines, power and network
6.1 PoolParty can keep your processor, graphics card, memory, storage and network busy for long periods. That means heat, fan noise, higher electricity use and cost, wear on batteries and storage, and network traffic that may count against a data cap.
6.2 PoolParty has controls for this, such as working only while a machine is idle or on mains power, backing off when a machine runs warm, share limits, and Stop everything now. Like the rest of the beta, they may not work on every device, and you can change most of them. You choose the settings, and you are responsible for watching your devices, keeping them cooled and maintained, and not running PoolParty on a device where a failure or overheating could be dangerous.
6.3 You are responsible for checking that your internet provider, employer, school, landlord or network owner allows what you use PoolParty for, and for any costs you incur, including electricity, data and fees for services you connect.
6.4 PoolParty accepts connections from your local network so that your machines can find and reach one another, and while sharing with your other computers is on, each machine announces itself on the local network it is connected to. On Windows, its installer adds firewall rules that allow these connections from your local network. Turn sharing off before you join a network you do not trust.
7. Your data, sealed files and backups
7.1 PoolParty can encrypt your files on your device and spread the encrypted pieces across machines in your pool. The keys stay on your devices. We never receive your keys, your recovery codes or your unencrypted files, and we cannot reset or recover them.
7.2 If you lose every device that holds the keys and your recovery codes, your sealed files cannot be recovered by anyone, including us.
7.3 PoolParty is not a backup service. Keep independent backups of anything that matters. Figures PoolParty shows about a file’s safety, such as how many machines hold it, describe the present state and are not a promise that the file will survive.
7.4 You are responsible for the data you put into PoolParty and for having the right to use it.
8. Your pool and the people in it
8.1 You decide who and what joins your pool. People, devices, apps, agents and keys you admit can use the machines, models, files and other resources you share with them, within the permissions you give. You are responsible for whom you admit, what you allow, and what happens under those permissions.
8.2 When you join someone else’s pool, its owner controls it. Its hub receives what your device sends it, such as your device’s name, its capacity readings, and any request that is not sealed. Join only pools you trust.
8.3 Arrangements between you and other people in a pool are between you and them. We are not a party to them.
9. AI models and their answers
9.1 PoolParty can download and run AI models, and connect to AI engines, made by others, such as LM Studio and Ollama. Each model comes under its publisher’s licence. Some require you to accept terms before use, and some restrict commercial use. You are responsible for following them.
9.2 We do not make these models and do not control what they say. Answers can be wrong, incomplete, out of date, offensive, or similar to someone else’s work. Check anything important independently, and do not rely on PoolParty’s answers for medical, legal, financial, safety-critical or other consequential decisions.
9.3 You are responsible for your prompts, for how you use answers, and for anything you create with PoolParty.
9.4 Some engines offer models that run on the engine maker’s servers, which sends your prompts off your machines. PoolParty does not detect these yet, so check an engine’s models before you let your pool use them.
10. Theater, streaming, games and headsets
10.1 You are responsible for having the rights to anything you play, stream, cast, share or generate with PoolParty’s Theater and streaming features, and for following the terms of the games, stores and platforms you use, including their rules on anti-cheat and account sharing.
10.2 Streaming can lag, stutter or freeze, especially over wireless networks.
10.3 Headsets. Using a virtual-reality or mixed-reality headset carries risks, including motion sickness, eye strain, disorientation, falls, collisions and, for some people, seizures. Before you use PoolParty in a headset, read the safety notice PoolParty shows and the headset maker’s health and safety warnings, and follow both. Clear your play area, take regular breaks, and stop at once if you feel unwell. PoolParty is for adults: keep children clear of the play area.
10.4 Worlds, surrounds and other content generated by AI are labelled as generated. They are not a record of anything real.
11. Open-source and other third-party components
11.1 PoolParty includes open-source components listed in the third-party notices that come with each package and are published with each release. Their own licences govern those components, and nothing in this agreement limits the rights those licences give you.
11.2 Some programs PoolParty can help you install, start or connect to, such as a game-streaming host, are separate programs under their own licences and are not part of the Software.
11.3 Third-party models, engines, content and services are provided by others under their own terms. We are not responsible for them, and your dealings with them are between you and them.
12. Updates and connections to us
12.1 On macOS, Windows and Linux, PoolParty checks our download service for signed update information about every six hours unless you turn this off in Updates. It installs nothing unless you choose to. If you turn on automatic updates, on macOS its background agent may update itself, and on Windows and Linux the new package is downloaded and waits for you to click Install update; the app itself is never updated without you.
12.1a We can publish a signed stop that pauses PoolParty’s background agent on the versions it names, for example when a version has a serious fault. PoolParty reads it about every five minutes, whatever Updates says. A paused agent does no work for any pool until a version the stop does not name is installed; Stop everything now, uninstalling, and getting your files out still work.
12.2 Updates may change or remove features. An older version may stop working with newer versions or with our Services, and it stops being offered updates if its signed update information expires.
12.3 Diagnostics are off by default. If you turn them on, PoolParty shows you each report before anything is sent, and sends it only when you click Send.
12.4 Our Privacy Notice lists what PoolParty sends to us or to anyone else.
13. The Public Pool and credits
13.1 If you choose to join The Public Pool once it is open, your machine runs the sandboxed work The Public Pool assigns, within posted limits, and that work always gives way to your own pool’s work. You can leave at any time.
13.2 Credits are an accounting record, not money. They have no cash value and are never paid out. Our Credits Terms govern them.
14. Ownership, trademarks and feedback
14.1 We and our licensors own PoolParty and all rights in it, apart from the third-party components.
14.2 This agreement gives you no right to use the PoolParty name or logo, except to refer to PoolParty accurately.
14.3 If you send us feedback or suggestions, we may use them freely, without paying or crediting you.
15. No warranty
POOLPARTY IS BETA SOFTWARE, PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS, AND YOU USE IT AT YOUR OWN RISK. TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING THOSE OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT POOLPARTY WILL WORK WITHOUT INTERRUPTION OR ERROR, BE SECURE OR FREE OF HARMFUL COMPONENTS, KEEP YOUR DATA OR MAKE IT RECOVERABLE, AVOID DAMAGE TO OR WEAR ON YOUR DEVICES, OR PRODUCE ACCURATE ANSWERS.
In plain words: what our website, the app and the documentation say about PoolParty describes how it is designed to work. It is not a promise that it will.
16. Limits on our liability
TO THE FULLEST EXTENT THE LAW ALLOWS, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, FILES, KEYS, PROFITS, REVENUE, BUSINESS OR GOODWILL, DAMAGE TO OR WEAR ON HARDWARE, OR COSTS OF ELECTRICITY, BANDWIDTH OR REPLACEMENT GOODS OR SERVICES, ARISING FROM OR RELATED TO POOLPARTY OR THIS AGREEMENT, EVEN IF WE WERE TOLD THEY WERE POSSIBLE.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO POOLPARTY OR THIS AGREEMENT IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US FOR POOLPARTY IN THE 12 MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE CLAIM AND (B) US$50.
This limit and the one in our Terms of Service are a single combined limit, not two. These limits apply whatever the legal theory, whether contract, tort (including negligence), strict liability or anything else, and even if a remedy fails of its essential purpose. They are part of the bargain that lets us offer the beta for free.
17. Your responsibility to us
To the extent the law allows, you will defend and indemnify us, and hold us harmless, against third-party claims, and the resulting losses and reasonable costs, arising from your breach of this agreement, your breaking the law or infringing someone’s rights, content you process with PoolParty, or the use of your pool by anyone you admitted to it.
18. Rights the law gives you
Some places do not allow some of the exclusions and limits in sections 15 to 17, or give consumers rights that cannot be waived. Nothing in this agreement takes those rights away. Where the law does not allow an exclusion or limit, it applies to the fullest extent the law does allow.
19. Ending this agreement
19.1 You may end this agreement at any time by uninstalling PoolParty and deleting any copies you have.
19.2 We may end or suspend your licence if you break this agreement, if the law requires it, or if we end the beta or stop offering PoolParty.
19.3 When this agreement ends, stop using PoolParty and uninstall it. Sections 7.2 to 7.4, 8.3, 9.2, 9.3, 11, 13.2 and 14 to 23 continue to apply.
20. Export and sanctions
You will follow the export-control and sanctions laws that apply to PoolParty and to you. You confirm that you are not located in a country or region subject to comprehensive United States sanctions, and that you are not on a United States government list of restricted parties. You will not use PoolParty for any purpose those laws prohibit.
21. Changes to this agreement
21.1 We may change this agreement. Each version carries a version name and a date, and the current one is published at poolpartyai.com/eula.
21.2 When a new version applies to you, PoolParty asks you to accept it the next time you open it; until you answer, the version you accepted before applies. If you decline, PoolParty’s pool features stop on that device, and you may stop using PoolParty and uninstall it. Declining never stops you from uninstalling, leaving a pool or getting your own files out.
21.3 A change does not apply to a dispute that arose before it.
22. Law and disputes
22.1 The laws of the State of Colorado, United States, govern this agreement, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
22.2 Before you start any legal claim, write to us at hello@poolpartyai.com with “Legal notice” in the subject, describe the dispute, and give us 30 days to try to resolve it informally.
22.3 If it is not resolved, the state and federal courts located in Colorado have exclusive jurisdiction, and you and we consent to them. Either of us may bring a claim that qualifies in a small-claims court, and either of us may seek an injunction in any court to protect intellectual property. If you are a consumer and the law where you live gives you the right to bring a claim in your local courts, this section does not take that right away.
23. General
23.1 Whole agreement. This agreement, with the documents it refers to, is the whole agreement between you and us about PoolParty. If it and the Terms of Service conflict about the Software, this agreement governs.
23.2 Severability. If a court finds any part of this agreement unenforceable, that part is enforced as far as the law allows and the rest stays in effect.
23.3 No waiver. If we do not enforce a provision, we have not waived it.
23.4 Transfer. You may not transfer this agreement without our written consent. We may transfer it as part of a merger, acquisition, reorganisation or sale of assets, or to an affiliate.
23.5 Events beyond control. We are not responsible for failures caused by events beyond our reasonable control.
23.6 No third-party rights. Nobody other than you and us has rights under this agreement.
23.7 Notices. We may give you notices in the app, on our website, or by email if you have written to us. You may give us notices at hello@poolpartyai.com with “Legal notice” in the subject.
23.8 Language. The English version governs. “Including” means “including without limitation”.
